In a bid to minimize the spread of Covid-19, the Uganda Registration Services Bureau, which registers companies in Uganda, is restricting the number of people going to their various offices in the country and has since changed the procedure for registration.
Currently this is the procedure being followed:
1. Reserve a name.
Generate a payment assessment through the Uganda Revenue Authority Portal and pay the required fee in the Bank to obtain a payment receipt.
Go the Uganda Registration and Services Bureau portal under E-services, Name reservation and fill in the application form for reservation of a name and also upload your payment receipt.
Upon completion of filling the application form, submit the form for processing. An email will be sent to your email address with a ticket number for follow up.
Once the name passes the similarity, defensive, offensive, desirability test, it is reserved and a reservation notice is issued. This reservation is valid for 30 days.
2. Fill the requisite documents for company registration, that is,
- a) Form S18 -Application for registration of a company;
- b) Form A1 – Statement of Nominal Capital;
- c) Form 20 – Notice of appointment of Directors and Secretary;
- d)Form 18 – Notice of Situation of the Registered Office;
- e)Any Resolution; Company Form 1 for Single member companies;
- f) Prepare the Company’s Memorandum and Articles of association.
Generate payment assessments through the Uganda Revenue Authority Portal and pay the necessary fees for the respective Company forms in the Bank and obtain payment receipts.
Scan copies of all the above-mentioned documents for submission together with the reservation notice, payment receipts, copies of identification documents for shareholders, directors and secretaries and the memorandum and articles of association.
Conclusion
Go the Uganda Registration and Services Bureau portal under E-services, Business/Company Registration, Company Registration, and fill in the application form and attach the documents in 2 above.
Upon completion, click the submit bottom to submit your company for registration. An email will be sent to your email with a ticket number that you can use for following up on the request.
